1. Agreement to Terms

By accessing or using Loonie Nest (the "Service"), operated by Ventrous Labs Inc. ("we," "us," or "our"), you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

Loonie Nest provides financial planning calculators and educational tools designed for Canadian DIY investors. We offer both free tools and premium "Pro" features accessible via paid subscriptions.

4. Fees, Payments, and Subscriptions

By choosing a paid plan, you agree to the following:

• Payment Processing: All payments are processed securely through Stripe. We do not store your credit card information on our servers.
• Subscription Tiers:
  • Weekly Access: Provides access for a period of 7 days. This is a one-time charge and does not automatically renew.
  • Annual Subscription: This is an auto-renewing subscription. You will be billed annually until you cancel.
• Cancellations: You may cancel your annual subscription at any time through your account settings or by emailing us. Cancellation prevents the next scheduled renewal; you will retain access until the end of your current billing period.
• Refund Policy: We want you to be happy with Loonie Nest. If you are unsatisfied or made a mistake in your purchase, please contact us at support@loonienest.com within 14 days of your transaction. We handle refund requests on a case-by-case basis with a focus on fairness and transparency.

5. Use of the Service

You agree to use the Service only for personal, non-commercial use. You may not:

• Use the Service to provide professional financial advice to third parties for a fee.
• Attempt to reverse-engineer or "scrape" the calculation logic.
• Use the Service for any unlawful or fraudulent activity.

6. Intellectual Property

All content and functionality within the Service — including but not limited to the calculation methodologies, projection models, user interface design, text, graphics, and underlying source code — is the exclusive intellectual property of Ventrous Labs Inc. and is protected under the copyright laws of Canada and applicable international treaties.

Subject to these Terms, you are granted a limited, personal, non-exclusive, non-transferable, and revocable license to access and use the Service for your own private, non-commercial financial planning purposes. This license does not include any rights to:

• Copy, reproduce, or redistribute any part of the Service or its underlying logic;
• Reverse-engineer, decompile, or derive the calculation methodology or source code;
• Sell, sublicense, or commercially exploit the Service or any outputs derived from it;
• Remove or alter any copyright, trademark, or proprietary notices within the Service.

Any unauthorized use of the Service's intellectual property may result in termination of your access and may expose you to civil or criminal liability under applicable law.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Ventrous Labs Inc. shall not be liable for any financial losses, lost profits, or damages resulting from your reliance on the Service.
• Our total liability for any claim arising from your use of the Service shall not exceed the amount you actually paid to us for the Service in the 12 months preceding the claim.

8. Governing Law

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada. Any disputes will be resolved exclusively in the courts of Vancouver, BC.
